End User License Agreement

IMPORTANT: PLEASE READ THIS END USER LICENSE AGREEMENT CAREFULLY BEFORE INSTALLING OR USING THE SOFTWARE. By downloading, installing, accessing, or using the Shape desktop application (the "Software"), you agree to be bound by this Agreement, our Terms of Service, and our Privacy Policy. If you do not agree, do not install or use the Software.

1. Parties and scope

This End User License Agreement ("EULA") is a legal agreement between you (either an individual or an entity you are authorized to bind) and Shape for the Software, including updates, documentation, and related desktop components we provide. Cloud account features, billing, and website services are also governed by the Terms of Service.

2. License grant

Subject to your compliance with this EULA and any applicable subscription or usage limits, Shape grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Software on devices you own or control for your internal development, design, and professional work. This license does not transfer ownership of the Software. All rights not expressly granted are reserved by Shape and its licensors.

The Software source repository may be available under the Business Source License (BUSL) or other notices accompanying the distribution. Where license texts conflict for a given copy, the terms that accompany that copy control for that copy. Your use of Shape Cloud AI still requires an official build or an authorized development setup as described in the Terms and documentation.

3. Restrictions

Except to the extent prohibited by applicable law, you may not:

  • Rent, lease, sell, sublicense, distribute, or publicly host the Software as a competing product
  • Reverse engineer, decompile, or disassemble the Software except where mandatory law permits
  • Remove or alter proprietary notices, attestation, or security controls
  • Circumvent usage limits, authentication, billing, or build attestation for Shape Cloud AI
  • Use the Software to violate law, infringe rights, or compromise others' systems
  • Use the Software in violation of export control or sanctions laws

4. Your content and local processing

You retain all rights to source code, designs, and other materials you create or open in the Software. Local editor, Git, and terminal features operate on your device. The Software does not upload your project by default. Features that send data to Shape or third parties (such as AI chat, catalog sync, auth, or updates) only do so when you use those features or when required to operate them.

5. Artificial intelligence features

The Software may provide access to AI systems that generate text, code suggestions, plans, or other outputs. You acknowledge you are interacting with an AI system. Outputs may be inaccurate, incomplete, insecure, biased, or infringing. You are solely responsible for reviewing and validating Outputs before relying on them. Shape does not guarantee Outputs are fit for any purpose.

Unless otherwise agreed in writing, you own Outputs generated for you to the extent permitted by law, subject to third-party model provider terms and any rights others may have in the content. Shape does not claim ownership of your project source code stored locally.

Official Shape Cloud AI requests require build attestation and an authenticated account. Usage, credits, and free-tier limits are enforced server-side as described in the Terms and dashboard.

6. Updates and channels

We may provide updates, patches, or new versions automatically or through channels you select (for example stable or pre-release). Updates are part of the Software and remain subject to this EULA unless accompanied by different terms. You are responsible for installing updates needed for security and compatibility.

7. Third-party components

The Software may include or interact with third-party libraries, language servers, MCP servers, Skills, and services. Those components are subject to their own licenses and terms. Shape is not responsible for third-party components you choose to enable.

8. Termination

This license terminates automatically if you breach this EULA or if we terminate your account or access under the Terms. Upon termination you must stop using the Software and uninstall copies in your possession. Sections that by their nature should survive termination survive, including ownership, disclaimers, limitations of liability, and indemnity obligations in the Terms.

9. Disclaimer of warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHAPE AND ITS LICENSORS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR COMPATIBLE WITH YOUR ENVIRONMENT.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHAPE AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHAPE'S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SOFTWARE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO SHAPE FOR THE SOFTWARE OR RELATED CLOUD SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

11. Governing law

This EULA is governed by the laws of the State of Delaware, United States, excluding conflict of law principles, except where mandatory consumer protection laws in your country of residence require otherwise. Dispute procedures in the Terms of Service apply to disputes arising from this EULA where applicable.
